STAO Customizations – License Terms

This software is the intellectual property of Mathieu Yuill (“the Developer”). It is provided to the Science Teachers Association of Ontario (“the Client”) under the following terms:
1. Grant of License
The Developer grants the Client a non-exclusive, non-transferable, revocable license to use this software solely on the website stao.ca (and its associated staging/development environments) for the duration of the active service agreement between the Developer and the Client.
2. Restrictions
The Client may not, without prior written consent from the Developer:
- Copy, redistribute, sublicense, or transfer this software to any third party, including but not limited to other developers, agencies, hosting providers, or contractors.
- Modify, adapt, reverse engineer, decompile, or create derivative works based on this software.
- Use this software on any domain or website other than stao.ca.
- Remove, alter, or obscure the copyright notice or license terms.
3. Ownership
The Developer retains full ownership of all intellectual property rights in this software, including all source code, documentation, and related materials. Installation on the Client’s server does not constitute a transfer of ownership.
4. Termination
This license terminates automatically if:
- The service agreement between the Developer and Client ends, or
- The Client breaches any term of this license.
Upon termination, the Client must cease all use of this software and delete all copies from their servers within 30 days.
5. No Warranty
This software is provided “as is” without warranty of any kind, express or implied. The Developer shall not be liable for any damages arising from the use or inability to use this software.
6. Governing Law
This license shall be governed by the laws of the Province of Ontario, Canada.
